Author content license & revenue share agreement

This Author Content License & Revenue Share Agreement (“Agreement”) is entered into between Pika Business Household, operating the platform maxve.org (“Maxve”, “we”, “us”), and the individual or entity submitting digital content (“Author”, “you”).

By uploading content to maxve.org, you agree to the following terms:

1. Role of the Parties

Maxve.org operates as the platform owner and content distributor of digital content made available on the platform.
Payments to customers are processed by third-party payment processors. Where applicable, certain payment processors may act as Merchant of Record.

Authors are independent content contributors and do not sell products directly to customers through the platform.

Nothing in this Agreement shall be construed as creating a partnership, agency, reseller, distributor, employer–employee, or joint venture relationship between the parties.

2. Grant of License

The Author grants Maxve a non-exclusive, worldwide, royalty-bearing license to:

host, reproduce, market, distribute, and sell access to the submitted digital content;
sublicense the content to end users under Maxve’s applicable end-user license agreement.

All intellectual property rights remain with the Author.
This Agreement does not transfer ownership of the content to maxve.org.

3. Revenue Sharing (Royalties)

Maxve.org may share a portion of its revenue with the Author as compensation for licensed content.

Revenue share percentages, membership levels, transaction fees, and calculation methods are determined by Maxve’s commission structure and may vary based on the Author’s level and applicable payment processing policies.

Payments to the Author constitute royalties or revenue share derived from licensed content distribution and do not represent proceeds from individual sales conducted by the Author.
The Author acknowledges that revenue share amounts are calculated on an aggregated basis and may include applicable taxes charged to customers and payment processing fees.

4. Payouts

Revenue share balances may be withdrawn partially or in full, subject to platform rules and minimum payout thresholds.
Authors are responsible for initiating payout requests and selecting the withdrawal amount.
Payouts do not represent a full settlement of lifetime earnings unless explicitly withdrawn in full.

5. Taxes

Authors are solely responsible for determining and complying with any personal income tax obligations arising from revenue share payouts received from maxve.org.

maxve.org does not withhold or remit taxes on behalf of Authors unless required by applicable law.

6. Content Warranties

The Author represents and warrants that:

They own or have sufficient rights to license the submitted content;
The content does not infringe any third-party intellectual property rights;
The Author acknowledges that Maxve may apply content moderation measures in accordance with platform policies.
Such moderation does not constitute legal review, approval, or acceptance of liability for the content.

7. Content Moderation and Removal

Maxve reserves the right, at its sole discretion, to review, restrict, remove, or disable access to any content that violates platform policies, applicable laws, or third-party rights. Such actions do not constitute an admission of ownership, authorship, or liability for the content.

8. Termination

Either party may terminate this Agreement by removing the Author’s content from the platform.
Termination does not affect any accrued but unpaid revenue share earned prior to termination, subject to platform rules.
